Philip Dear represents corporations, REITs, investment banks, SPACs, private equity sponsors and other investors in a broad range of traditional and complex securities and capital markets transactions.
Bio
Mr. Dear frequently advises clients on initial public offerings, follow-on offerings, high-yield and investment-grade debt offerings, leveraged buyouts, cross-border securities offerings and liability management transactions.
In addition, Mr. Dear counsels U.S. and international corporations on corporate governance, SEC and stock exchange compliance, and general corporate matters. He has worked on transactions for clients across a wide range of industries, including consumer retail products, health care, real estate, media and telecommunications, technology, agriculture, oil and gas, and industrials and manufacturing.
