Bio

Merna Abouelmaaty advises public and private companies, financial institutions and private equity sponsors on mergers, acquisitions, dispositions, carve-outs, joint ventures, going-private transactions, securities offerings, reorganizations and other corporate matters, including SEC compliance and corporate governance.

Ms. Abouelmaaty’s representations include:

  • Mubadala Investment Company, alongside Stone Point Capital and CD&R, in the acquisition of Truist’s remaining stake in Truist Insurance Holdings, valued at $15.5 billion
  • GIC, alongside Oak Street, in the $14 billion acquisition of STORE Capital Corporation
  • Google in its $2.1 billion purchase of St. John’s Terminal in New York City
  • Coty Inc. in its long-term strategic relationships with Kylie Jenner and Kim Kardashian to expand their beauty businesses
  • Fortress Value Acquisition Corp. II in its $2.5 billion merger with ATI Physical Therapy
  • V2X, Inc. (formerly Vectrus, Inc.) in its:
    • acquisition of Zenetex
    • merger of equals with Vertex, Inc.
  • Veritas Capital in the:
    • $1.35 billion sale of its portfolio company Abaco Systems to AMETEK, Inc.
    • acquisition of Solers Inc. by its portfolio company Peraton Corp.
  • Cannae Holdings, Inc. in its strategic partnership with, and minority investment in, JANA Partners
  • Pamplona Capital Management and its portfolio company nThrive, Inc. in the carve-out sale of nThrive’s technology business to Clearlake Capital for $1.1 billion
  • Norwest Equity Partners and its portfolio company Quadion LLC (d.b.a. Minnesota Rubber and Plastics) in the sale of Quadion to KKR
  • Oceansound Partners in its strategic investment in Lynx Software Technologies
  • ScottsMiracle-Gro Company in the sale of its stake in the TruGreen joint venture to the joint venture’s majority owner
  • NFP Corp. in its acquisition of Thompson Flanagan
  • The Travelers Companies, Inc. in its acquisition of Corvus Insurance

Ms. Abouelmaaty also provides legal services to pro bono clients, including early stage nonprofits and individuals seeking asylum in the U.S. She is actively involved in Skadden’s recruiting, corporate training and summer associate programs.
