Lara M. Zaitzeff
Bio
Ms. Zaitzeff has represented clients operating in the life, property and casualty, financial guaranty and mortgage guaranty industries in complex transactions. Ms. Zaitzeff’s experience also includes advising mutual insurers on regulatory aspects in connection with demutualization and mutual holding company transactions.
She also provides advice on and negotiates insurance management agreements, reinsurance arrangements and renewal rights agreements. In addition, Ms. Zaitzeff assists clients with the formation and licensing of insurance companies and agencies. Her representative experience includes acting for, among others, Medical Professional Mutual Insurance Company, a subsidiary of Coverys, in its acquisition of Preferred Professional Insurance Co., Inc.; TPG Capital, L.P. in its $1.5 billion acquisition of The Warranty Group, Inc. and its $450 million acquisition of Assisted Living Concepts Inc.; ING U.S., Inc., a subsidiary of Netherlands-based ING Groep N.V., as special U.S. insurance and regulatory matters counsel, in connection with its $1.3 billion IPO; SCOR Global Life U.S. Holdings Inc., a subsidiary of SCOR SE, in its $750 million acquisition of Generali U.S. Holdings, Inc., the holding company of Assicurazioni Generali SpA’s U.S. life reinsurance operations; and Jackson National Life Insurance Company, a subsidiary of Prudential plc (UK), in its $622 million acquisition of the US Admin Re business of Swiss Re (Switzerland).
