Bio

David Wang advises on a diverse range of corporate matters, including cross-border M&A and international capital markets transactions. He also has experience counseling on joint ventures, series financings, fintech deals, technology transactions and cybersecurity and data privacy matters. Additionally, he assists clients on SEC filings and other U.S. securities law matters. Mr. Wang’s experience includes advising:

  • FREYR Battery on:
    • its first follow-on offering, which raised gross proceeds of $264.5 million
    • its joint venture with Koch Strategic Platforms to evaluate potential North American gigafactory production of green battery cells for energy storage, mobility and electric vehicle applications
    • various U.S. securities and corporate law matters
  • Cool Company Ltd. in connection with:
    • its dual listing on the New York Stock Exchange, which was the first successful U.S. dual listing to be completed under the newly implemented Norwegian Central Securities Depositories Regulation
    • its private placement to raise gross proceeds of $270 million, including a primary and a secondary offering
    • various U.S. securities and corporate law matters
  • DSV A/S on its acquisition of S&M Moving Systems West LLC and Global Diversity Logistics LLC, both of which are Arizona-based freight forwarding companies specializing in shipments of high-tech materials
  • Iceland Foods on its £475 million high-yield bond offering and its related tender offer to purchase £500 million of its existing 4.625% senior secured notes due 2025
  • Alussa Energy Acquisition Corp. on its merger with FREYR AS, the first-ever Nordic de-SPAC. As a result of the merger, FREYR became a publicly traded company
  • Blueground on its $180 million series financing
  • Armstrong World Industries, Inc. on the $330 million sale of its EMEA and Pacific Rim businesses to Knauf International Gmbh
  • Social Capital Hedosophia Holdings Corp. on its $1.5 billion merger with Virgin Galactic, LLC, which created the world’s first publicly traded commercial human spaceflight company
  • LVMH Moët Hennessy Louis Vuitton S.E. on its initially unsolicited but subsequently agreed upon €14.7 billion acquisition of Tiffany & Co.
  • Levere Holdings Corp. on its $271 million initial public offering of units consisting of one Class A ordinary share and one-third of one redeemable warrant
  • Blue Whale Acquisition Corp I on its $229 million initial public offering of units consisting of one Class A ordinary share and one-fourth of one redeemable warrant

Mr. Wang maintains an active pro bono practice, with a particular focus on immigration, refugee, and social entrepreneurship and mobility matters. Prior to joining Skadden, he worked as a management consultant and was a collegiate public speaking competitor, winning numerous individual state championships and earning a national finalist title.
