Hamish Tester advises private equity institutions and private investors on a wide range of transactions, including private acquisitions, carve-outs, consortium deals, group restructurings and general corporate matters. Mr. Tester regularly counsels investors’ portfolio companies on bolt-on acquisitions and disposals, restructurings, management incentive schemes and other commercial matters, as well as a variety of clients on the execution of exit planning and co-investment terms.

Mr. Tester’s representations include:

•  BlackRock in its acquisition of Preqin at an enterprise value of £2.55 billion
• Castik Capital in its acquisition of Andra Tech Group B.V.
• Hg in connection with its:
  • Saturn 3 investment in Visma at a valuation of €19 billion
  • investment in Managed Markets Insights & Technology, LLC
• I Squared Capital in the establishment of:
  • its Cube Cold platform
  • nLighten, its data centre platform
• Montagu Private Equity in the separation of its portfolio company DEAS into two business units and subsequent disposal of (i) the real estate services business of DEAS to PHM Denmark, a portfolio company of Norvestor, and (ii) the asset management services business of DEAS to Fokus Nordic AB, a portfolio company of BlackFin Capital Partners
• IRIS Software Group in its acquisition of Dext
• Refresco Group B.V., a leading independent beverage solutions provider, in the sale of a majority stake in the business to KKR
