Elena Pinsker represents public and private companies in complex U.S. and cross-border corporate transactions, including mergers and acquisitions, divestitures, investments and a variety of other strategic transactions. Ms. Pinsker also advises companies and boards on corporate governance and securities matters, and regularly counsels senior executives and high-net-worth individuals on a broad range of commercial and contractual matters.

Ms. Pinsker represents clients in a diverse array of industries. Examples of her representations include:

• Ansys, Inc. in its pending $35 billion sale to Synopsys, Inc.
• Otsuka Pharmaceutical Co., Ltd. in its $1.1 billion (including earnout) acquisition of Jnana Therapeutics Inc.
• Western Digital in the pending split of its hard disk drive and NAND memory businesses
• View, Inc. in its $1.6 billion merger with CF Finance Acquisition Corp. II
• ACE Convergence Acquisition Corp. in its $919 million merger with Tempo Automation Inc.
