Angela Liu

Ms. Liu frequently advises institutional investors on their investments in offshore fund vehicles. In addition, she has extensive experience representing global fund managers on the formation of onshore RMB fund platforms (including Qualified Foreign Limited Partnership (QFLP) and Qualified Domestic Limited Partnership (QDLP) funds).

Her experience includes acting for clients such as HOPU Capital, Wise Road Capital, Cenova Capital, Hony Capital and China International Capital Corporation, as well as various other corporations, sovereign wealth funds and other institutional investors.

Prior to joining Skadden, Ms. Liu practiced at another leading international law firm. Before that, she worked at a top PRC domestic law firm focusing on the formation of RMB funds.

Her experience (including prior to joining Skadden) includes advising:

• Mars, Incorporated on its investments in Asia;
• Industrial and Commercial Bank of China on the formation of the SINO-CEE Fund, focusing on investments in the infrastructure, high-tech manufacturing and consumer goods sectors in Central and Eastern European countries as part of China’s One Belt One Road initiative;
• DWS Investments (formerly Deutsche Asset Management), Deutsche Bank’s asset management arm, on the formation of a private equity (PE) fund focusing on investments in China’s clean energy sector;
• CBRE, a global real estate fund manager, on the structuring, formation and ongoing operations of its first QFLP core fund in Shanghai;
• ACE Manco, Three Gorges Capital’s asset management arm, on the formation of its third clean energy-focused PE fund;
• AXA Investment, Citadel, Man Group, EJF Capital and Och-Ziff on the formation and compliance in relation to their respective QDLP fund and other PRC presence; and
• Capital Dynamics on several acquisition transactions for secondary fund interests on behalf of their dedicated secondaries funds.
