Bio
Andrianna Frinzi represents financial institutions and corporate clients in a variety of U.S. and international transactions, including initial public offerings and other equity offerings, high-yield and investment-grade debt offerings, and restructuring transactions, such as tender offers, exchange offers and consent solicitations.
In addition, Ms. Frinzi counsels corporate clients of all sizes across a variety of industries on corporate governance, SEC and stock exchange compliance, and general corporate matters.
Recent representations include:
- Viking Holdings Ltd. in its $1.5 billion initial public offering of its ordinary shares on the New York Stock Exchange
- The Manitowoc Company, Inc. in its offering of $300 million of senior secured second lien notes and simultaneous redemption of outstanding senior secured second lien notes
- Farmers Insurance Exchange in its offering of $300 million of surplus notes
- PayPal Holdings, Inc. in various offerings, including its issuance of $1.25 billion of senior notes and 90 billion yen of senior notes
- Intel Corporation, as selling stockholder, in Mobileye Global Inc.’s secondary offering of 38.5 million shares of common stock
- O’Reilly Automotive, Inc. in various senior notes offerings aggregating approximately $1.25 billion
- Burlington Stores, Inc. in its issuance of approximately $297.1 million of convertible senior notes pursuant to a privately negotiated exchange
- the underwriters in numerous senior notes offerings for various issuers, including Public Storage, Inc. and Crown Castle Inc.
- Ambrx Biopharma Inc. in its reorganization merger in order to domesticate as a Delaware corporation
- Veritas Capital in its recapitalization, alongside Kohlberg Kravis Roberts & Co. L.P., of Cotiviti, a leading health care data and technology business and portfolio company of Veritas Capital
- Juniper Networks, Inc. in its sale to Hewlett Packard Enterprise in an all-cash transaction for $40 per share, representing an equity value of approximately $14 billion
