Robert Chou represents public and private clients on a variety of tax matters involving cross-border acquisition, disposition and restructuring transactions for U.S. and international clients. He also advises on the structuring, development, acquisition and/or disposition of renewable energy projects, as well as the related project financing, including the qualification for and monetization of tax credits and other tax benefits.
His matters include representing:
- Brookfield Super-Core Infrastructure Partners in its $3.5 billion acquisition of an additional 30% stake in FirstEnergy Transmission, LLC from FirstEnergy Corp.
- carsales.com Ltd. in its $624 million acquisition of a 49% stake in Trader Interactive, the related option to acquire the remaining 51% of the company and the subsequent exercise of that option for $809 million
- DuPont de Nemours, Inc. in the:
- $11 billion divestiture of a majority of its Mobility & Materials segment to Celanese Corporation
- $1.8 billion sale of an 80.1% stake in its Delrin acetal homopolymer business to TJC LP
- $1.7 billion acquisition of Spectrum Plastics Group from AEA Investors
- separation into three independent, publicly traded companies through the tax-free separation of its electronics an Apold water businesses
- Entegris, Inc. in the $700 million sale of its electronic chemicals business to Fujifilm Holdings Corporation
- Infrastructure Investments Fund in its acquisition of South Jersey Industries, Inc. at an enterprise value of $8.1 billion
- International Flavors & Fragrances Inc. in the:
- $2.85 billion sale of its pharma solutions business unit to Roquette Frères S.A.
- $810 million sale of its cosmetic ingredients unit to Clariant AG
- the lenders in connection with the $700 million project financing of a solar project being developed by Parliament Solar, which is owned by EnCap and Mercuria
- Scopely, Inc. in its $4.9 billion acquisition by Savvy Gaming Group, a subsidiary of the Public Investment Fund of Saudi Arabia.
- Splunk Inc. in its $28 billion acquisition by Cisco Systems, Inc.
