Bio
Antonio Cammalleri advises clients on all aspects of EU, U.K. Italian and international competition law, including merger control procedures, cartels and abuse of dominant position matters. He has been involved in several high-profile and in-depth merger control transactions requiring international antitrust merger control approvals around the world.
Mr. Cammalleri is part of Skadden’s Italian practice that repeatedly has been named as Best Italian Desk by TopLegal.
Mr. Cammalleri’s recent experience includes advising on the following transactions:
- Castik Capital S.à.r.l. in its acquisition of a majority stake in Element Logic
- Castik Capital S.à.r.l. and ABRY Partners, LLC in their joint acquisitions of Reward Gateway and Xexec
- Funds managed by Castik Capital S.à.r.l. in the acquisition of TBAuctions and subsequently in TBAuction’s acquisitions of PS Intressenter AB, Auksjonen, Bjarøy, Klaravik AB and Surplex GmbH
- Embraer S.A. in the proposed, but terminated, US$4.2 billion sale of an 80% stake in its commercial aircraft and services business to The Boeing Company
- Hanwha Group in the unconditional EU approval, and other regulatory filings, of its US$1.45 billion acquisition of Daewoo Shipbuilding & Marine Engineering Co.
- Hg in:
- its significant investment in IFS and WorkWave at a US$10 billion valuation
- its US$1 billion investment in Insightsoftware
- the acquisition by its portfolio company Insight Software of Magnitude Software, Inc.
- Iliad Italia S.p.A. in its joint venture with Wind Tre S.p.A., resulting in the creation of a new company named Zefiro Net s.r.l., 50% owned by each of the two partners
- International Paper Company in its proposed US$9.9 billion competitive takeover of DS Smith Plc
- NorStella, a portfolio company of Hg and Welsh Carson Anderson & Stowe, in its merger with Citeline, a portfolio company of Warburg Pincus LLC, at an enterprise value of US$3.9 billion
- Renault Group in the restructuring of its long-standing partnership with Nissan Motor Co. Ltd.
- Spotify Technology S.A. in its US$235 million acquisition of Megaphone LLC from Graham Holdings Company
- Viagogo in its US$4.05 billion acquisition of StubHub, Inc. from eBay Inc.
