Bio

Cassie Ashley advises public companies on executive compensation matters involving employment, severance, retention, equity, and change-in-control arrangements and golden parachute excise tax issues in the context of mergers and acquisitions, public offerings and other corporate transactions. She also advises clients on corporate governance matters and SEC guidelines governing executive and director compensation disclosure and reporting requirements.

Ms. Ashley’s representative matters include advising:

  • ANSYS, Inc. on its:
    • acquisition by Synopsys, Inc. at an enterprise value of $35 billion
    • sale of its PowerArtist business to Keysight Technologies, Inc.
  • Bowhead Specialty Holdings Inc. on its $147 million IPO of common stock
  • Brookfield Infrastructure Partners L.P. on its going-private acquisition of Triton International Limited at an enterprise value of $13.3 billion
  • Dell Technologies Inc., the controlling shareholder of SecureWorks Corp., on the $859 million sale of SecureWorks to Sophos Ltd., which was backed by Thoma Bravo
  • F5, Inc. on its acquisition of Lilac Cloud, Inc.
  • Hg on its majority investment in GTreasury SS, LLC
  • Intel Corporation on Mobileye’s $990 million IPO of Class A common stock on Nasdaq and a concurrent $100 million private placement of Mobileye’s Class A common stock
