On October 6, Skadden held part two of our “13th Annual Securities Litigation and Regulatory Enforcement Update,” “Emerging Trends in Delaware Law.” Our panel of Skadden litigation attorneys reviewed a number of recent developments. The discussion covered decisions related to the merger review safe harbor protections set out in Kahn v. M&F Worldwide Corp., as well as other Court of Chancery rulings, including cases involving the Corwin doctrine, banker liability, officer liability, and stockholder demands for books and records. The panel also discussed a landmark decision regarding federal forum provisions, a recent application of the “internal affairs doctrine” and other recent key decisions in the state.
