Skadden, Arps, Slate, Meagher & Flom LLP seeks a Mid-Level Associate in Palo Alto, CA to represent clients in Mergers, Acquisitions, Financing and Restructuring, and other commercial and contractual matters as part of the firm’s corporate M&A group with a focus on technology transactions. Requires a Juris Doctor degree or equivalent and two (2) years of experience representing companies in domestic and cross-border mergers, acquisitions, stock purchases, asset purchases, investments and securities offerings; reviewing corporate contracts including stock purchase agreements, asset purchase agreements, merger agreements, vendor and supplier contracts, material contracts, joint development agreements, government contracts, and non-disclosure agreements and identifying and extracting terms and key restrictive provisions including change of control provisions and anti-assignment provisions; preparing change of control analysis to facilitate deal signing and closing; preparing issue lists, diligence reports, and executive summaries; conducting legal research utilizing Westlaw, Lexis Nexis, Deal Point Data, Intelligize, Capital IQ and Practical Law; preparing legal analysis and drafting memoranda in corporate law and securities regulations; preparing SEC forms including definitive proxy statement Schedule 14A and public company annual, quarterly and current reports including Form 10-K, 10-Q, 8-K; conducting and supervising due diligence process by utilizing artificial intelligence tools, including Kira; corresponding with financial advisors throughout deal process from negotiation to signing and closing; and conducting comprehensive legal due diligence on target companies and drafting material contract summary charts. Must be admitted to practice law in the State of California. Telecommuting and/or working from home may be permissible pursuant to company policies.

The starting base salary for this California position is expected to be between $235,000 to $ 260,000 annually. Actual salary will be determined based on skills, experience (to the extent relevant) and other job-related factors, consistent with applicable law.
