Skadden, Arps, Slate, Meagher & Flom LLP seeks a Mid-Level Associate in New York, NY to serve in the firm’s corporate transaction practice group. Requires a Juris Doctor degree or equivalent and two (2) years of experience drafting, negotiating and reviewing security documents including pledge agreements and guarantee and collateral agreements; drafting, negotiating and reviewing credit agreements and ancillary transaction documents, including officer’s certificates, resolutions and corporate authorizations, legal opinions and UCC financing statements including UCC-1s that perfect security interests and UCC-3s that amend, continue or terminate existing UCC-1 filings; reviewing corporate clients’ existing debt facilities to conduct change of control analysis in merger and acquisition transactions; drafting deal structure consideration memorandums for clients for merger and acquisitions and bank finance transactions; drafting, negotiating and reviewing payoff letters in connection with termination of loan and credit facilities in merger and acquisition transactions; and tracking communications among parties including subject matter experts, opposing counsel, client and counterparty and maintaining deal checklist. Must be admitted to practice law in the State of New York. Telecommuting and/or working from home may be permissible pursuant to company policies. 

The starting base salary for this New York position is expected to be between $260,000.00 to $310,000.00 annually. Actual salary will be determined based on skills, experience (to the extent relevant) and other job-related factors, consistent with applicable law.
