Skadden secured the complete dismissal with prejudice of claims against iRobot Corporation and certain of its former officers in a putative securities fraud class action alleging that iRobot violated Sections 10(b), 14(a) and 20(a) of the Securities Exchange Act of 1934 by purportedly misleading investors about the likelihood of regulatory antitrust approval and completion of its merger with Amazon. On January 27, 2025, Judge William G. Young of the U.S. District Court for the District of Massachusetts granted iRobot’s motion to dismiss, holding that the amended complaint failed to adequately allege a material misrepresentation or omission and scienter.
